👋 Acceptance of Terms
By accessing or using the services provided by VK Digital Solution ("Company", "we", "us", "our"), you ("Client", "you") agree to be legally bound by these Terms and Conditions.
If you do not agree with any part of these terms, you may not use our services. These terms apply to all visitors, clients and others who access or use our services.
- These terms constitute a legally binding agreement between you and VK Digital Solution
- Use of our website or services constitutes acceptance of these terms
- These terms supersede all prior agreements or understandings
⚡ Our Services
VK Digital Solution provides the following digital marketing services:
- Search Engine Optimization (SEO) — Local, Technical, On-page & Off-page
- Social Media Marketing — Instagram, Facebook, LinkedIn management
- Google Ads & Meta Ads (PPC) campaign management
- Content Marketing — blog writing, copywriting, email marketing
- E-commerce Marketing — product SEO, Shopping ads, CRO
- Website Development — WordPress, WooCommerce, landing pages
- Graphic Design — logo, brand identity, social media creatives
- Video Editing — Reels, YouTube, ad videos
- Personal Branding — LinkedIn & Instagram growth
Service scope, deliverables and timelines are defined in individual service proposals or agreements provided to each client before work commences.
💡 All services are customized based on client requirements. Final scope is agreed upon in writing (email or WhatsApp) before any work begins.
💳 Payment Terms
General Payment Policy:
- Monthly services require advance payment at the beginning of each month
- One-time projects require 50% advance before work begins, 50% on delivery
- All prices are in Indian Rupees (INR) and exclude GST (18%)
- Payment accepted via bank transfer, UPI, or other agreed methods
Late Payments:
- Services may be paused if payment is not received within 7 days of due date
- A late fee of 2% per week may be applied on overdue amounts
- All outstanding amounts must be cleared before new work commences
Refund Policy:
- Monthly retainer fees are non-refundable once the service period begins
- For one-time projects, the advance payment (50%) is non-refundable if work has commenced
- Refunds for incomplete work will be considered on a case-by-case basis
⚠️ Ad spend paid to Google or Meta platforms is managed on your behalf. We do not collect or hold your ad budget — you pay these platforms directly from your own accounts.
🧠 Intellectual Property
Client-Owned Assets: Upon full payment, all final deliverables — including logos, designs, website code and content — become the exclusive property of the client.
VK Digital Solution Retains:
- The right to display completed work in our portfolio and case studies
- Ownership of all tools, processes and methodologies used
- Templates and frameworks used in delivery (only the final output is transferred)
Client Must Not:
- Resell or sublicense our deliverables without written consent
- Use our work to create competing products or services without approval
- Remove any attribution or credit without prior agreement
📋 Client Responsibilities
To enable us to deliver optimal results, clients agree to:
- Provide accurate business information, brand assets and content as required
- Grant necessary access to Google Analytics, Google Search Console, ad accounts, social media profiles and website as needed for the agreed services
- Review and approve content, designs and strategies within agreed timelines
- Respond to queries and feedback requests within 48 hours to avoid project delays
- Ensure all provided information, images and content are legally owned or licensed
- Maintain confidentiality of strategies and reports shared by VK Digital Solution
- Pay invoices on time as per agreed payment schedule
⚠️ Delays caused by late client approvals or missing information may affect delivery timelines. VK Digital Solution is not responsible for delays caused by client-side issues.
📊 Results Disclaimer
While we are committed to delivering the best possible results, digital marketing outcomes depend on multiple factors beyond our control:
- Search engine algorithm changes (Google, Meta, etc.)
- Market competition and industry dynamics
- Client website quality, speed and content
- Ad budget size and product/service quality
- Client responsiveness and cooperation
We do not guarantee: Specific search rankings, follower counts, lead volumes or revenue figures. Any performance estimates shared are projections based on past experience and industry benchmarks — not guaranteed outcomes.
💡 What we DO guarantee: Expert execution, transparent reporting, continuous optimization and our full commitment to achieving the best possible results for your business.
🛑 Termination of Services
By Client: Monthly services can be cancelled with 15 days written notice (email or WhatsApp). No refund for the current month's fees.
By VK Digital Solution: We reserve the right to terminate services with 15 days notice if:
- Payment is overdue by more than 14 days
- Client engages in illegal or unethical activities
- Client breaches these Terms and Conditions
- Client is abusive or disrespectful towards our team
Upon Termination:
- All completed deliverables will be provided to the client upon full payment
- Access credentials and assets will be returned within 7 working days
- Ongoing campaigns will be paused or handed over as agreed
⚖️ Limitation of Liability
To the maximum extent permitted by applicable law, VK Digital Solution shall not be liable for:
- Any indirect, incidental, special or consequential damages
- Loss of profits, revenue, data or business opportunities
- Damages arising from third-party platform changes (Google, Meta, etc.)
- Website downtime, hacking or technical issues outside our control
- Actions taken based on our recommendations that result in losses
Our total liability in any matter related to our services shall not exceed the total fees paid by the client in the 3 months preceding the claim.
🔒 Confidentiality
Both parties agree to maintain confidentiality of all proprietary information shared during the course of the engagement:
- VK Digital Solution will keep all client business information, strategies and data strictly confidential
- Clients agree not to share our proprietary strategies, reports or methodologies with competitors
- Confidentiality obligations survive termination of services for 2 years
- Portfolio display rights are retained by VK Digital Solution as specified in the IP section
🏛 Governing Law & Disputes
These Terms and Conditions are governed by the laws of India. Any disputes arising from or related to these terms or our services shall be subject to:
- First resolution through good-faith negotiation between parties
- If unresolved within 30 days, mediation through a mutually agreed mediator
- Exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India
🔄 Changes to These Terms
VK Digital Solution reserves the right to modify these Terms and Conditions at any time. When changes are made:
- The "Last Updated" date will be revised
- Existing clients will be notified via email for significant changes
- Continued use of our services after changes constitutes acceptance
